& Mission
Statement
The legal name
of our group:
Lexington
Business
Association.
Our Mission
Statement:
To promote
Lexington as an
attractive
community for
visitors,
potential
residents, and
those seeking
business
opportunities.
Article II -
Purpose
Combine efforts
in advertising,
fundraising for
special events,
and promoting
business.
The LBA
will remain a
non-profit
organization now
and forever.
In the
event that the
LBA should
resolve, all
funds will
immediately be
dispersed to the
Village of
Lexington.
Article III -
Membership
Primary Member
- Must be
physically
located within
Lexington
mailing with the
exception of
Lakeshore
lodging,
approved by the
LBA Board.
Each business
has voting
privileges (1
vote per
business)
Secondary Member
- Second
business
registered at
reduced rate,
also with voting
privileges.
Associate Member
- A business,
organization, or
non-business
person who
contributes to
the Lexington
Community
approved by the
LBA Board,
without voting
privileges.
Article IV -
Source of Funds
Budget
- Set up yearly
to determine the
needs of the LBA
by the LBA
Board.
Dues
- To be
determined on a
yearly basis by
the LBA Board.
Fund Raising
- To fund
special events,
advertising.
Article V -
Officers
Officers will
include:
President, Vice
President,
Treasurer,
Secretary, and 2
trustees.
Odd years will
elect Vice
President,
Treasurer, and 2
trustees.
Even years
President,
Secretary, and 2
trustees.
Qualifications
- It is
recommended that
a person be part
of the LBA Board
prior to
becoming a
candidate for
office.
Elections
- Slate
presented to
informed
membership for
approval.
Board to appoint
officers.
Voting
- 1 vote per
business
Article VI -
Meetings
General Meetings
– Twice yearly
Board Meetings
- Every Month -
Subject to
change if
necessary
Article VII -
Grievance
Procedure
A grievance must
be presented in
writing to the
Board with
signature, in
person if
possible.
Article VIII -
Events
Each event will
have a
Chairperson.
Chairperson is
responsible for
organization of
event and
advertising and
has authority to
make decisions
pertaining to
event under
scrutiny of LBA
Board.
Suggestions for
an event must be
presented to the
board for
discussion.
Article IX -
Amendment of
By-Laws
By-laws to be
discussed and
approved by LBA
Board and then
voted on by an
informed
membership.
By-laws must be
approved by
two-thirds vote
of membership
present for
discussion.
